Please read these Affiliate Program Terms and Conditions (“Affiliate Terms”) carefully before participating in our Affiliate Program. These Affiliate Terms form a legally binding agreement between you (“Affiliate”, “you”, “your”) and TreatmentInEurope (also “we”, “us”, “our”, “Company”) and govern your participation in our affiliate/referral program.
1. Definitions
In these Affiliate Terms (capitalized terms):
Unless the context requires otherwise, singular includes plural and vice versa.
2. Enrollment in the Program
2.1. To become an Affiliate, you must submit a complete application via our Affiliate registration form.
2.2. We reserve the right to accept or reject any application in our sole discretion (for instance, based on your website content, traffic sources, reputation, geographic targeting, or promotional practices).
2.3. Upon approval, we will issue you an Affiliate Link and grant you access to the Affiliate Dashboard.
3. Affiliate Obligations & Promotional Guidelines
3.1. You agree to promote TreatmentInEurope ethically, accurately, and in compliance with applicable laws, regulations, and industry norms.
3.2. You must not:
(a) make false, misleading, exaggerated, or unsubstantiated claims about our services;
(b) bid on our brand or trademark terms in search engine marketing or otherwise use paid search terms that directly target our brand name (unless expressly allowed in writing);
(c) engage in spamming, unsolicited email campaigns, or other prohibited practices;
(d) promote via ads or content that is defamatory, obscene, infringing, or otherwise objectionable;
(e) cloak or redirect links in ways that obscure tracking or misrepresent destination;
(f) place Affiliate Links on sites that primarily host pirated content, adult content, click-bait, or malicious code.
3.3. You will comply with any branding guidelines, ad copy rules, disclaimers, or other materials provide to You.
3.4. You must clearly disclose (in a way compliant with advertising laws) that you may earn compensation when visitors click your link and complete a transaction.
4. Commissions, Tracking & Payment
4.1. Commission Rate: Subject to eligibility, you will earn €100 for each Qualified Referral.
4.2. Tracking: We use the Affiliate Link mechanism and tracking cookies (or equivalent technology) to monitor clicks, leads, and conversions.
4.3. Verification: A referral is only eligible if verified by us (i.e. patient actually undergoes and completes treatment). We reserve the right to reject a lead/referral (e.g. canceled treatment, fraudulent actions, duplication, partial treatment).
4.4. Payment Cycle: We pay accrued and approved commissions once per month, after verifying all referrals in the prior period.
4.5. Payment Method: Payments will be made via bank transfer. You will provide required banking or payment account details.
4.6. Chargebacks & Adjustments: If a Qualified Referral is later reversed (e.g. refund, cancellation, chargeback), we may deduct the associated Commission from future payments or require reimbursement.
4.7. Currency & Taxes: Commissions will be paid in Euros. You are responsible for all taxes, duties, or withholdings arising from your Commission earnings.
5. License & Intellectual Property
5.1. Subject to your compliance with these Affiliate Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our trademarks, logos, and marketing materials solely for the purpose of promoting TreatmentInEurope in the Program.
5.2. You shall not alter, distort, or obscure our trademarks, and you must include any attribution, disclaimers, or notices we require.
5.3. All intellectual property rights in our Site, services, content, and affiliate program materials remain our sole property.
6. Term & Termination
6.1. Term: Your participation begins upon acceptance and continues until terminated under these terms.
6.2. Termination by Either Party: Either you or we may terminate your participation at any time, with or without cause, by providing notice (e.g. via email).
6.3. Termination by Us for Cause: We may immediately suspend or terminate your participation if you breach any provision of these Affiliate Terms, misrepresent our services, or engage in prohibited practices.
6.4. Effects of Termination: Upon termination:
(a) You must cease using all Affiliate Links, logos, and marketing materials.
(b) You will no longer accrue new Commissions, but we will pay any outstanding verified commissions (subject to verification and deductions for refunds) in the next payment cycle, unless prohibited by applicable laws or for cause.
6.5. Survival: Provisions of these Affiliate Terms that by their nature should survive (e.g. payment, audits, limitations of liability, confidentiality) will survive termination.
7. Representations & Warranties
7.1. You represent and warrant that:
(a) you have full power, capacity, and legal right to enter into this agreement;
(b) your promotional activities comply with applicable laws, regulations, and industry standards (including advertising rules, electronic communications, consumer protection laws);
(c) you will not infringe any third-party rights, including intellectual property, privacy, or publicity rights.
7.2. We make no warranties regarding your performance or earnings under the Program, and we disclaim liability to the fullest extent permitted by law.
8. Limitation of Liability & Indemnification
8.1. To the maximum extent permitted under applicable law, neither party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages (including lost profits or business interruption), even if advised of the possibility of such damages.
8.2. Our aggregate liability arising in connection with the Program (whether in contract, tort, or otherwise) shall not exceed the total Commissions paid or payable to you in the prior 12 months.
8.3. You agree to indemnify, defend, and hold harmless TreatmentInEurope and its officers, agents, employees, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:
(a) your breach of these Affiliate Terms;
(b) your promotional activities;
(c) your violation of applicable laws or third-party rights.
9. Confidentiality
You agree not to disclose any confidential or proprietary information of ours (for example, conversion rates, payout structure, tracking methods) to any third party, except as required by law. This obligation survives termination.
10. Audits & Reporting
10.1. We may audit your compliance (e.g. review your promotional sites, methods, traffic sources) upon reasonable notice and frequency.
10.2. If we determine that tracking is inaccurate or your methods violate these terms, we may adjust or withhold Commissions.
10.3. You will provide reasonable cooperation during audits, including access to relevant data or analytics.
11. Modification of Terms
We reserve the right to modify, update, or replace these Affiliate Terms at our sole discretion. If we make material changes, we will provide reasonable notice (e.g. 30 days) before they take effect. Your continued participation after any changes constitutes acceptance of the new terms.
12. Governing Law & Dispute Resolution
12.1. These Affiliate Terms and any disputes arising out of or related to them are governed by the laws of Latvia.
12.2. You and we shall attempt to resolve any dispute informally prior to commencing any legal action.
12.3. If informal resolution fails, disputes shall be resolved in the competent courts in Riga, Latvia, to which you and we submit.
13. Miscellaneous
13.1. Severability: If any provision is held invalid or unenforceable, that provision will be reformed to the minimum extent necessary, and the remaining provisions remain in full force.
13.2. Waiver: A party’s failure to enforce any right or provision does not constitute a waiver of future enforcement.
13.3. Assignment: You may not assign or transfer your rights or obligations under these Affiliate Terms without our prior written consent. We may assign or transfer our rights without your consent.
13.4. Independent Contractors: You and we are independent contractors; nothing in these Affiliate Terms creates a partnership, joint venture, agency, or employment relationship.
13.5. Notices: Notices shall be given via email or via the contact form on our Site (or as otherwise communicated).
13.6. Entire Agreement: These Affiliate Terms, together with any materials we expressly incorporate by reference (e.g. marketing guidelines, Affiliate dashboard rules), constitute the entire agreement between you and us regarding the Program, superseding all prior agreements or understandings.
